Articles of Incorporation
TOLEDO WATER SPORTS, INC.
We, the undersigned, hereby
associate ourselves together for the purpose of becoming a nonprofit
corporation under the laws of the State of Ohio, by and under the provisions of
the Statutes of the State of Ohio, providing for the formation, liability, rights,
privileges, and immunities of a nonprofit corporation.
Article
1.
The
corporation shall be known as Toledo Water Sports, Inc.
Article
2.
The
principal office of the corporation shall be in Toledo, Lucas County, Ohio.
Article
3.
The general
nature of the business and the objects and purposes proposed to be transacted,
promoted and carried on are to do any and all things hereinafter mentioned as
fully and to the same extent as natural persons might or could do to promote
Safe Boating for Personal Watercraft Enthusiasts, in accordance with the needs
and requirements, within the Corporate capability, namely:
A.
To
promote safety in boating for personal watercraft operators.
B.
To
promote and maintain the highest standards of integrity and character of the
membership among the members.
C.
To aid
in every way all worthy improvements to promote safe boating for personal
watercraft operators.
D.
To
conduct public educational displays during National Safe Boating Week or at
proper designated places.
E.
To
conduct seminars and hands on training for personal watercraft operators.
F.
To aid
and assist worthy projects that further and make possible better and safer
boating for personal watercraft operators and for the public at large,
including any Law Enforcement Agency.
Article
4.
The
membership shall be comprised of individual persons, organizations and
corporations in good standing that devote their efforts to promote safe boating
for personal watercraft operators. Active individual members shall be riders of
personal watercraft, personal watercraft enthusiasts, jet-powered watercraft,
or those of the general public concerned with the sport.
Article
5.
This
corporation shall have a perpetual existence unless sooner dissolved according
to law.

Article
7.
The
officers of the club shall be a President, Vice President, Treasurer, and
Secretary. These officers shall constitute the Executive Board. The Legislative
and Event Chairman shall be appointed positions and not part of the Executive
Board.
Article
8.
The
duties of the President shall be:

To
preside at all the meetings of the club.
Ø
To
have general supervision of the affairs of the club.
Ø
To
appoint any person or committee not otherwise ordered by the club.
Ø
To
represent the club personally on appropriate occasions and in business
contacts.
Ø
To
assist all other officers of the club in their records, correspondence and
other duties.
Ø
To
promote interest on the part of each member in club life and activities.
Article
9.
The Vice
President shall
perform the duties of the President in his or her absence.
Article
10.
The
duties of the Treasurer shall be:

To
collect dues from all members.
Ø
To
collect all money due the club.
Ø
To
maintain club financial records and deliver reports on a timely basis.
Article
11.
The
duties of the Secretary shall be:
Ø
To
keep a record of the meetings of the club.
Ø
To
send out notices of regular or special meetings.
Ø
To
handle all club correspondence.
Ø
To
perform such other duties as generally fall to that office.
Article
12.
The
duties of the Legislative Chairman shall be:
Ø
To
monitor local and state legislative activities affecting personal watercraft.
Ø
To
communicate with the IJSBA Government Affairs Department any legislative
activities identified.
Ø
To
work with the IJSBA Government Affairs Department, and the legislative chairmen
of other clubs, to promote programs and legislation that will benefit personal
watercraft users.
Ø To vote only when necessary to break
a tie within the governing body.
Article
13.
The
duties of the Event Chairman shall be:
Ø
To
plan all club rides, activities, etc.
Ø
To
stimulate interest in activities.
Ø
To
assist in handling club socials, parties and other functions.
Ø
To
enforce all rules of group riding.
Ø
To
appoint members of Activities Committee to assist with event planning.
Article
14.
The
duties of the Board of Trustees shall be:

To act
for the club in all matters ordered by the club.
Ø
To
make final decisions on expulsion of members.
Ø
To
investigate properly and present to the club all business or important
activities.
Ø
To
have general control over all club affairs.
Article
15.
A quorum of
the Board of Trustees necessary to complete club business shall be 3.
Article
16.
The
decisions of the Board of Trustees in all Corporate matters shall be final. The
powers of the Corporation shall include all powers set forth in the State of
Ohio Statutes. In order to promote the purposes of this Corporation, it may
acquire real or personal property by grant, gift, purchase, devise or bequest
and hold and dispose of such property as the corporation shall require for the
benefit of the set programs and not for pecuniary profit.
Article
17.
Upon
dissolution of this organization, all of it's assets remaining after payment of
all costs and expenses of such dissolution shall be distributed to an
organization with like interests in the promotion of Safe Boating. No part of
the assets of the corporation shall be distributed to any members, officer, or
trustee of the corporation, or to any firm, partnership, or association in
which any member, officer, or trustee may have any financial interest either
upon dissolution or any other distribution.
Article
18.
No part of
the net earnings of the corporation shall inure to the benefit of, or be
distributable to its members, officers, trustees, or other private persons,
except that the corporation shall be authorized and empowered to pay reasonable
compensation for services rendered, and to make payments and distributions in
furtherance of the purposes set forth in Article 3 hereof. Notwithstanding any other provisions of
these articles, this corporation will not carry on any activities not permitted
to be carried by (a) Corporation exempt from Federal Income Tax Section 501c3
of the Internal Revenue Code of 1954 or the corresponding provision of any
future United States Internal Revenue Law or (b) a Corporation, contributions
to which are deductible under Section 170 (c) (2) of the Internal Revenue Code
of 1954 or any other corresponding provision of a future United States Internal
Revenue Law.
Article
19.
This
corporation will hold monthly meetings at various locations that may offer
their premises. Several locations have been offered such as Yacht Clubs,
Personal Watercraft Dealers and Restaurants.
Article
20.
The initial
location of this corporation shall be at 2197 Shoreland Ave., Toledo, Ohio
43611.
